Welcome to BitPrimax. These Terms of Service ("Terms") govern your access to and use of BitPrimax's platform, services, and products (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
BitPrimax operates two distinct platforms: (1) a consumer platform for cryptocurrency trading, buying, selling, and managing digital assets ("Consumer Platform"), and (2) a merchant platform for businesses to accept cryptocurrency payments ("Merchant Platform"). Specific terms may apply depending on which platform you use.
If you do not agree to these Terms, you may not access or use our Services.

For Merchant Platform users, you must additionally represent that you are authorized to bind the business entity on whose behalf you are registering.
3.1 Account Creation: You must create an account to use certain features of our Services. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.
3.3 KYC/AML Compliance: We may require you to complete identity verification procedures (Know Your Customer/Anti-Money Laundering) before you can access certain features or transaction limits. You agree to provide all requested documentation and information.
4.1 Trading Services: Our Consumer Platform allows you to buy, sell, swap, and manage cryptocurrencies. All transactions are final once executed and cannot be reversed except as required by law.
4.2 Wallet Services (Non-Custodial): The Consumer Platform operates on a non-custodial basis. You maintain full control and ownership of your cryptocurrency assets. BitPrimax does not hold, manage, or have access to your private keys. You are solely responsible for securing your wallet credentials and recovery phrases. Loss of your credentials may result in permanent loss of access to your assets.
4.3 Fees: You agree to pay all applicable fees as disclosed on our platform. Fees may include trading fees, withdrawal fees, and network fees. We reserve the right to modify our fee structure with notice.
5.1 Payment Processing: Our Merchant Platform enables businesses to accept cryptocurrency payments from customers. We support multiple blockchain networks including BEP-20, TRC-20, and Bitcoin.
5.2 Wallet Services (Custodial): The Merchant Platform operates on a custodial basis. BitPrimax maintains custody of cryptocurrency received through merchant payment wallets until settlement. BitPrimax holds and manages the private keys for merchant payment addresses on your behalf. This means you are trusting BitPrimax to secure and manage access to received cryptocurrency payments. While we implement robust security measures, this custodial arrangement means funds are subject to our operational and security practices until settlement occurs.
5.3 API Access: We provide API access and SDKs for integration with your business systems. You agree to use our APIs in accordance with our API documentation and not to exceed rate limits or engage in abusive behavior.
5.4 Webhooks: We may send webhook notifications to your specified endpoints. You are responsible for maintaining secure webhook endpoints and verifying webhook signatures.
5.5 Settlement: Cryptocurrency payments received through the Merchant Platform will be settled to your designated wallet addresses according to your configured settlement preferences.
5.6 Merchant Fees: You agree to pay applicable merchant transaction fees. Fee structures are based on transaction volume and may be customized for enterprise clients.
You agree not to engage in any of the following prohibited activities:
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, downloads, interfaces, code, and software, are the exclusive property of BitPrimax and are protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.
8.1 Cryptocurrency Risks: Cryptocurrency trading and transactions involve substantial risk. The value of cryptocurrencies can fluctuate significantly, and you may lose your entire investment.
8.2 Technical Risks: Our Services rely on blockchain networks and technology infrastructure that may experience downtime, delays, or disruptions. We are not responsible for losses resulting from blockchain network issues.
8.3 Regulatory Risks: Cryptocurrency regulations vary by jurisdiction and may change. You are responsible for understanding and complying with applicable regulations in your location.
8.4 No Investment Advice: BitPrimax is not a registered investment advisor, broker-dealer, or financial planner. We do not provide investment advice, financial advice, or trading recommendations. Any information provided through our Services is for informational purposes only and should not be construed as investment advice. You are solely responsible for evaluating the merits and risks of any transaction.
8.5 Loss of Principal: Cryptocurrency markets are highly volatile. You may lose some or all of your invested capital. Only use funds you can afford to lose entirely. Past performance does not guarantee future results.
8.6 No Guarantees: We make no guarantees about exchange rates, transaction speed, or the value of any cryptocurrency. All rates displayed are estimates and may change before transaction completion.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that our Services will be uninterrupted, secure, or error-free. We do not warrant the accuracy, completeness, or usefulness of any information provided through our Services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BITPRIMAX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability to you for all claims arising out of or relating to these Terms or our Services shall not exceed the greater of (a) the amount you paid us in fees during the 12 months prior to the event giving rise to liability, or (b) $100 USD.
You agree to indemnify, defend, and hold harmless BitPrimax and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your violation of any applicable laws or regulations.
We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. You may also terminate your account at any time by contacting us.
Upon termination, your right to use our Services will immediately cease. We will make reasonable efforts to return any cryptocurrencies held in your account, subject to applicable fees and compliance requirements.
13.1 Informal Resolution: Before filing a claim, you agree to contact us at support@bitprimax.com to attempt to resolve the dispute informally.
13.2 Binding Arbitration: Any dispute arising out of or relating to these Terms or our Services shall be resolved through binding arbitration, except where prohibited by law.
13.3 Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and BitPrimax individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date.
Your continued use of our Services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using our Services.
15.1 Entire Agreement: These Terms constitute the entire agreement between you and BitPrimax regarding our Services.
15.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
15.4 Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
